Compliance & Disclaimers

Transparency is not optional. Every statement on this platform is made within a rigorous legal and regulatory framework designed to protect both investors and the integrity of the AIRNEXUS mission.

No Public Securities Offering

This website and all materials contained within are for informational purposes only. They do not constitute an offer to sell or a solicitation of an offer to buy any securities or investment instruments. No public offering of securities is being made through this platform.

Any future securities offering will be conducted exclusively through properly registered private placement memoranda, Regulation D offerings, Regulation CF crowdfunding campaigns, or Regulation A+ filings — each subject to full legal, securities, and regulatory review before any capital is solicited or accepted.

No Guarantee of Returns

All investments carry risk, including the risk of total loss of capital. Past performance, market comparisons, or projected returns discussed on this platform are illustrative only and do not guarantee future results.

AIRNEXUS does not guarantee any rate of return, income distribution, or capital preservation. Investment decisions should be made only after conducting independent due diligence and consulting with qualified financial, legal, and tax advisors.

Securities Law Compliance

All capital raising activities will comply with applicable securities laws, including but not limited to:

  • U.S. Securities and Exchange Commission (SEC) regulations
  • FINRA oversight where applicable
  • State “blue sky” securities laws
  • Regulation D private placement requirements
  • Regulation CF and Regulation A+ crowdfunding rules
  • International securities regulations in applicable jurisdictions

Investor accreditation verification and suitability review will be conducted for all private placements. Investment minimums and maximums will be disclosed in offering documents.

Aviation Regulation Note

AIRNEXUS operates within the framework of international aviation regulation. All aircraft acquisitions, operational plans, and safety protocols will comply with:

  • European Union Aviation Safety Agency (EASA) regulations
  • U.S. Federal Aviation Administration (FAA) requirements
  • International Civil Aviation Organization (ICAO) standards
  • National civil aviation authorities in operating jurisdictions

Airworthiness certifications, maintenance record audits, and safety management system (SMS) compliance will be completed before any aircraft enters operational service.

Risk Disclosure

Investing in aviation assets involves significant and varied risks, including but not limited to:

  • Market Risk: Aviation demand is cyclical and sensitive to economic downturns, fuel price volatility, geopolitical events, and public health emergencies.
  • Execution Risk: AI system deployment timelines may extend due to technical complexity, integration challenges, or regulatory certification delays.
  • Regulatory Risk: Changes in aviation regulation, emissions policy, slot allocation rules, or securities law could materially affect operations and asset values.
  • Asset Depreciation Risk: Fleet values fluctuate with market cycles, technology obsolescence, and residual value changes. Older aircraft face accelerated depreciation.
  • Competitive Risk: Legacy carriers and low-cost competitors may respond aggressively to new market entrants through price competition or capacity expansion.
  • Liquidity Risk: Aviation assets are illiquid. Exit timelines and valuations are subject to market conditions at the time of disposition.

A comprehensive risk disclosure document will be provided to all qualified investors before any capital commitment.
